Non-FINRA Broker Dealer Agent Registration

The following must be submitted in order to register in West Virginia as a Non-FINRA Broker-Dealer or Non-FINRA Broker Dealer Agent

  • An executed copy of the Form BD
  • Registration Fee of $250
  • Form U-2 (Consent to Service of Process)
  • $10,000 Surety Bond – if net capital is under $25,000
  • An un-audited Financial Statement, prepared within 45 days of filing, indicating net capital and attested to by a principal of the firm
  • A copy of the firm’s Articles of Incorporation
  • A copy of the firm’s By-Laws
  • A copy of the latest available Annual Audited Financial Statement indicating net capital

Branch Offices

Registration Fee of $50 per branch Schedule E listing branch offices in West Virginia.


Agents

Executed Form U-4 for each agent to be registered in West Virginia. Initial Registration Fee of $80 - Renewal Registration Fee of $65.

Exam Requirements - Option 1 - Current Series 63 and one other exam, or Option 2 - Series 66.


Dual Registration

An agent may not represent more than one broker / dealer unless it is shown in writing that the subject broker/dealers are under common corporate control.


All registrations expire annually on December 31st

Please make checks payable to WEST VIRGINIA STATE AUDITOR.

Note: An agent who relies upon exclusions from the definition of Investment Advisor Representative is required to pass the following qualifying examinations:

Uniform Investment Advisor Law Examination (Series 65) and one (1) other examination; or Full Registration/General Securities Representative (Series 7GS) and one (1) other examination; or Uniform Combined State Law Examination (Series 66).

No waiver will be considered except upon written application.
